Question:

  :!su -
  Password:
  Passwd for user 'root' has expired - use passwd(1) to update it

  I changed the passwd on within a month, why should it expire?
  And boot from CDROM and modify /etc/shadow is the only option?
  Thanks.

  ask me to check the passwd aging, which is indeed the problem.
  root:somechars:10499:0:0::::
  But I found this out after gaining the root access. I was able to
  ftp as root to the machine and change /etc/shadow.

  MARC.NEWMAN@chase.com
  said that I can still login from console as root. I did not verify this.
