***thanks to Jim Harmon, who is the only respondant. He has
correctly identified the problem. The problem is due the
NVRAM module. *****

Here is the mail what i have received from him:

The RTC is a self-contained quartz-crystal oscillator and battery.

The ToD Clock chip should be P/N MK48TO8, and is physically part of the
NVRAM module.

The module is in the center of the board, under the middle S-BUS card
position, on the side of the board farther away from the SIMM sockets.

According to the Ultra OEM manual I have, it's extremely
static-sensitive so you MUST use ESD-protection methods to handle the
chip.

(It's possible that someone pulled the module out and handled it without
ESD protection before you got it, which would explain your problems.)
